Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Client") and GOSH AI, LLC ("GOSH AI," "we," "our," or "us"). They apply when you access our website, use our free tools, or purchase or use any of our services.

By accessing the website, clicking to accept, or purchasing a subscription, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you are authorized to bind that company.

If you do not agree to these Terms, do not use our website or services.

Definitions

• Services: the ARDI™ platform, subscription tiers (including ARDI™ Studio, Studio+, and Studio Pro, and our corporate and enterprise tiers), done-for-you execution, websites we build and maintain, and any related deliverables.
• ARDI™: our AI Recommendation and Discovery Intelligence framework, methodology, scoring, and platform.
• Free Tools: complimentary tools and reports such as the ARDI™ Quick Check and ARDI™ Snapshot.
• Subscription: a recurring, paid plan for the Services.
• MSA: a Master Services Agreement signed between you and GOSH AI.

The Services

GOSH AI measures and improves how AI models discover, cite, and recommend brands across AI surfaces including ChatGPT, Gemini, Claude, Perplexity, Grok, Microsoft Copilot, and Google AI Overviews.

Depending on your plan, the Services may include the ARDI™ Scorecard, the ARDI™ toolset, done-for-you content, review, and campaign execution, and a custom AI-discovery website. The specific scope of your engagement is defined by your plan, your order, or your MSA.

Where a plan includes a custom AI-discovery website (currently ARDI™ Studio Pro), that website is an optional, foundational build of up to five pages, with hosting not included. Any additional pages or scope beyond five pages are scoped, quoted, and priced separately.

We may update, improve, or modify the Services over time. We will not materially reduce the core functionality of a paid Subscription during a paid term without notice.

Free Tools and Reports

Our Free Tools, including the ARDI™ Quick Check and ARDI™ Snapshot, are provided for informational purposes and on an "as is" basis. They offer an assessment of AI visibility and recommendation signals at a point in time and do not constitute a guarantee of any result, ranking, or outcome.

You may not use the Free Tools to build a competing product, to scrape or resell our data, or in any automated or bulk manner beyond their intended use.

Accounts

To use certain Services you may need an account. You agree to provide accurate information, to keep it current, and to keep your credentials secure. You are responsible for activity that occurs under your account. Notify us promptly of any unauthorized use.

Fees, Billing, and Taxes

Subscription fees are stated on your order, on our pricing page, or in your MSA, and certain plans are billed per location. A subscription purchased online covers a single location; multi-location and franchise systems are scoped and arranged separately. Unless stated otherwise, fees are billed in advance on a recurring monthly basis and are due on receipt.

We use a third-party payment processor to bill and collect payment. By providing a payment method, you authorize us to charge the applicable fees, including any renewal, to that payment method. You are responsible for any taxes associated with your purchase, except for taxes on our net income.

If a payment fails or is past due, we may suspend or stop the Services until payment is received. We do not begin or continue work while an invoice is unpaid.

We may change our fees on a prospective basis with reasonable notice, effective at your next renewal.

Term, Renewal, and Cancellation

Subscriptions continue and renew automatically for successive periods until canceled in accordance with these Terms or your MSA. Where you have signed an MSA, its term, renewal, and cancellation provisions control.

Unless your MSA states otherwise, to cancel a Subscription you must contact us at support@mygosh.ai before the next renewal. Cancellation stops future renewals; it does not retroactively refund fees already due or paid for the current period.

Refunds

Because we begin performing work upon payment, fees are non-refundable except where required by law or expressly stated in your order or MSA. If you believe you have been billed in error, contact support@mygosh.ai and we will review it in good faith.

Client Responsibilities

To deliver the Services, we rely on your cooperation. You agree to provide the access, materials, approvals, and accurate information we reasonably need. You retain approval authority over what we publish or activate on your behalf, and you are responsible for the accuracy and legality of the materials and instructions you provide.

Acceptable Use

You agree not to: (a) use the Services unlawfully or to infringe the rights of others; (b) copy, resell, sublicense, or provide the Services to third parties except as permitted; (c) reverse engineer, scrape, or attempt to extract our methodology, models, or data; (d) interfere with or disrupt the Services; or (e) misrepresent your identity or authority.

Intellectual Property

GOSH AI owns and retains all rights in the ARDI™ framework, methodology, scoring, software, platform, tools, reports, and templates, and all related intellectual property, including any improvements. No rights are granted except as expressly stated here or in your MSA.

Subject to payment, we grant you a limited, non-exclusive, non-transferable license to use the deliverables we provide for your own internal business purposes. You retain ownership of your brand, content, and materials that you provide to us. If you give us feedback, you grant us a perpetual, royalty-free license to use it to improve the Services.

Client Content and Data

You grant us the right to access and use your website content, brand materials, analytics, and related data as reasonably necessary to provide the Services. Our handling of personal information is described in our Privacy Policy.

Third-Party Platforms and AI Models

The Services measure and influence how independent, third-party AI models and platforms discover and recommend brands. We do not own or control those platforms, and their behavior, outputs, and policies change frequently and without notice. We cannot and do not guarantee any specific recommendation, citation, ranking, placement, or outcome on any AI platform.

Disclaimers

The Services, Free Tools, and all reports are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or will produce any particular result.

Our reports and tools are informational and are not legal, financial, or professional advice.

Limitation of Liability

To the maximum extent permitted by law, GOSH AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount you paid to us for the Services in the three (3) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless GOSH AI and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Services, or your breach of these Terms.

Confidentiality

Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only to perform under these Terms or an MSA. This section does not apply to information that is public, independently developed, or lawfully received from a third party.

Suspension and Termination

We may suspend or terminate the Services if you materially breach these Terms (including non-payment) or use the Services in a way that creates legal or security risk. On termination, your right to use the Services ends. Sections that by their nature should survive, including fees owed, intellectual property, disclaimers, limitation of liability, and indemnification, survive termination.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the website or Services after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Florida have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you consent to venue there.

Relationship to a Master Services Agreement

If you have signed a Master Services Agreement or other written agreement with GOSH AI, that agreement governs your engagement and controls to the extent of any conflict with these Terms. These Terms otherwise apply to your use of our website, Free Tools, and any Services not covered by a signed agreement.

General

These Terms, together with any order or MSA, are the entire agreement between you and GOSH AI regarding the subject matter. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
